1. Definitions
- “Company,” “We,” “Us,” “Our” refers to Skylight Global Logistics.
- “Client,” “You,” “Your” refers to any individual, company, or entity that uses our services or accesses our website.
- “Services” refers to all logistics, freight forwarding, customs brokerage, warehousing, supply chain management, transportation, and any related services offered by Skylight Global Logistics.
- “Goods” or “Cargo” refers to the items, products, or merchandise being shipped, transported, or stored.

2. Scope of Services
Skylight Global Logistics provides the following services (but not limited to):
- Air Freight Forwarding
- Sea/Ocean Freight Forwarding
- Road & Surface Transportation
- Customs Clearance & Brokerage
- Warehousing & Distribution
- Supply Chain Management
- Door-to-Door Delivery Solutions
- Project Cargo & Heavy Lift Logistics
- E-commerce Logistics Solutions
We act as an intermediary between the client and various carriers, shipping lines, airlines, and other third-party service providers.
3. Quotations & Pricing
3.1. All quotations provided by Skylight Global Logistics are estimates and are subject to change based on actual weight, dimensions, routing, fuel surcharges, currency fluctuations, and other variable factors.
3.2. Quotations are valid for a period of 15 days from the date of issuance unless otherwise stated in writing.
3.3. Additional charges may apply for services not included in the original quotation, including but not limited to demurrage, detention, storage, re-delivery, special handling, and customs penalties.
3.4. All prices are quoted exclusive of applicable taxes, duties, and government levies unless explicitly stated otherwise.
4. Booking & Shipping Instructions
4.1. The Client must provide accurate and complete shipping instructions, including but not limited to: description of goods, weight, dimensions, origin, destination, consignee details, and any special handling requirements.
4.2. Any errors, omissions, or inaccuracies in the information provided by the Client shall be the sole responsibility of the Client. Skylight Global Logistics shall not be liable for any delays, losses, or additional costs arising from incorrect information.
4.3. Bookings are confirmed only upon written acceptance by Skylight Global Logistics and are subject to space availability with carriers.
5. Prohibited & Restricted Goods
5.1. The Client warrants that the Goods tendered for shipment do not include any:
- Illegal, contraband, or prohibited items under applicable laws
- Hazardous materials (unless pre-approved and properly declared)
- Narcotics or controlled substances
- Weapons, firearms, explosives, or ammunition
- Counterfeit or pirated goods
- Perishable items (unless pre-arranged with proper handling)
- Human remains or live animals (unless specifically arranged)
5.2. If prohibited or undeclared goods are discovered, Skylight Global Logistics reserves the right to refuse, abandon, or dispose of such goods at the Client’s expense and risk.
6. Duties & Responsibilities of the Client
6.1. The Client shall ensure that all Goods are properly packed, labeled, and marked in accordance with applicable regulations and industry standards.
6.2. The Client is responsible for providing all necessary documentation, including commercial invoices, packing lists, certificates of origin, import/export licenses, and any other documents required by customs authorities.
6.3. The Client shall comply with all applicable laws, regulations, sanctions, and trade compliance requirements of the origin, transit, and destination countries.
6.4. The Client is responsible for obtaining cargo insurance unless specifically arranged through Skylight Global Logistics. Without insurance, the Goods are transported at the Client’s own risk.
7. Liability & Limitation of Liability
7.1. Skylight Global Logistics acts primarily as a freight forwarder and agent. As such, our liability is limited in accordance with applicable international conventions, including but not limited to:
- Warsaw/Montreal Convention (Air Freight)
- Hague-Visby Rules / Hamburg Rules (Sea Freight)
- CMR Convention (Road Transport)
- Standard Trading Conditions of FIATA (where applicable)
7.2. Our maximum liability for loss or damage to Goods shall not exceed 2 SDR (Special Drawing Rights) per kilogram of gross weight of the Goods lost or damaged, or the actual value of the Goods, whichever is lower, unless a higher value is declared and agreed upon in writing and additional charges are paid.
7.3. Skylight Global Logistics shall NOT be liable for:
- Indirect, consequential, special, or incidental damages, including loss of profit, revenue, business opportunities, or goodwill.
- Delays caused by weather, natural disasters, government actions, strikes, port congestion, customs holds, or other force majeure events.
- Loss or damage resulting from the inherent nature of the Goods, insufficient packaging, or actions/omissions of the Client.
- Acts or omissions of third-party carriers, agents, or subcontractors beyond our control.
7.4. Claims for loss or damage must be submitted in writing within 14 days of delivery (or expected delivery date). Failure to notify within this period shall constitute a waiver of all claims.
8. Insurance
8.1. Skylight Global Logistics does not automatically insure the Client’s Goods unless specifically requested and confirmed in writing.
8.2. Upon request, we can arrange All-Risk Cargo Insurance through our insurance partners. Insurance coverage is subject to the terms and conditions of the insurance policy.
8.3. The Client is strongly advised to obtain adequate cargo insurance for all shipments.
9. Customs Clearance
9.1. When acting as customs broker, Skylight Global Logistics will process customs entries based on the information and documents provided by the Client.
9.2. The Client shall be solely responsible for the accuracy of all information provided for customs purposes, including the classification, valuation, and origin of Goods.
9.3. Any duties, taxes, fines, penalties, or storage charges imposed by customs authorities shall be the responsibility of the Client.
9.4. Skylight Global Logistics shall not be liable for any delays or seizures by customs authorities.
10. Payment Terms
10.1. All invoices are due and payable within 15 days from the date of invoice unless otherwise agreed in writing.
10.2. Payment shall be made in the currency specified on the invoice via bank transfer, or any other agreed payment method.
10.3. Late payments shall attract an interest charge of 1.5% per month (or the maximum rate permitted by law) on the outstanding balance.
10.4. Skylight Global Logistics reserves the right to exercise a general lien on any Goods, documents, or funds in its possession for any amounts owed by the Client, including the right to sell or dispose of Goods to recover outstanding payments.
10.5. All costs of collection, including attorney fees and court costs, shall be borne by the Client.
11. Force Majeure
11.1. Skylight Global Logistics shall not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, hurricanes, epidemics, pandemics)
- War, terrorism, civil unrest, or political instability
- Government regulations, embargoes, sanctions, or trade restrictions
- Strikes, labor disputes, or lockouts
- Port congestion, carrier delays, or infrastructure failures
- Cyberattacks, IT system failures, or power outages
- Any other Act of God or unforeseeable event
12. Indemnification
12.1. The Client agrees to indemnify, defend, and hold harmless Skylight Global Logistics, its directors, officers, employees, agents, and subcontractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or in connection with:
- The Client’s breach of these Terms
- Inaccurate or incomplete information provided by the Client
- Violation of any applicable law or regulation by the Client
- The nature, condition, or packaging of the Goods
- Any third-party claims related to the Client’s Goods
13. Subcontracting
13.1. Skylight Global Logistics reserves the right to subcontract any part of the Services to third-party carriers, agents, or service providers at its discretion.
13.2. Such subcontractors shall be subject to their own terms and conditions, and Skylight Global Logistics shall not be liable for their acts or omissions beyond the extent of its own negligence.
14. Intellectual Property
14.1. All content on the Skylight Global Logistics website, including but not limited to text, graphics, logos, images, videos, trademarks, and software, is the property of Skylight Global Logistics and is protected by applicable intellectual property laws.
14.2. You may not reproduce, distribute, modify, display, or use any content from our website without prior written consent.
15. Website Use & Disclaimer
15.1. The information on our website is provided for general informational purposes only and does not constitute an offer or contract.
